Terms of service

The short version

NepalCanWork is a marketplace and an escrow holder. Freelancers here are independent — they are not our employees, and we are not a party to the work you agree with them. What we do is hold the money until the work is approved, keep the written scope both sides accepted, and decide who the escrowed funds belong to if that agreement breaks down.

  • We hold your payment. We do not do the work.
  • Freelancers must verify a Nepali mobile number before they can sell or withdraw.
  • The order's scope contract is the agreement that gets enforced.
  • Deal off the platform and you lose escrow, evidence and any claim.

This document is a working draft

It was written by describing what the NepalCanWork platform actually does today, and it has not yet been reviewed by a lawyer. Amber markers show where a decision still has to be made rather than guessed. Until that review is complete, treat this as a good-faith description of platform behaviour, not as settled legal drafting.

Section 1

Who you are agreeing with

NepalCanWork is operated by Skarsys Global Pvt. Ltd., Harisiddhi-29, Lalitpur, Nepal. In this document “we”, “us” and “the platform” mean that company, and “you” means the person using the account.

There are two separate agreements in play whenever work happens here, and it matters which is which:

  • You and us. This document. It covers your account, your use of the platform, and how we hold and release money.
  • You and the other party. The order's scope contract — the numbered list of deliverables the client submitted and the freelancer accepted. That is the agreement about the work itself, and it is the only standard a dispute is judged against.

By creating an account or placing an order you accept these terms, the privacy policy, the escrow and refunds terms and the dispute and anti-scam policy.

Section 2

What NepalCanWork is, and what it is not

We run a marketplace where clients post work or buy published gigs, and independent freelancers deliver it. We also hold the client's payment in escrow for the life of the order.

We do

  • Take and hold the client's payment.
  • Record the scope contract and freeze it on acceptance.
  • Release, refund or split the escrowed amount.
  • Decide formal disputes over that money.

We do not

  • Employ, supervise or direct freelancers.
  • Perform, check or guarantee the work.
  • Become a party to your agreement with the other side.
  • Give legal, tax or professional advice.

Freelancers on NepalCanWork are independent contractors. Nothing here creates an employment, agency, partnership or joint-venture relationship between us and any user, or between two users beyond what their own order agrees. Each user is responsible for their own taxes, registrations and professional obligations.[REVIEW: tax withholding or reporting obligations under Nepali law, if any]

Section 3

Accounts and eligibility

An account needs a name, a unique username, an email address and a password. Passwords are stored only as a bcrypt hash — we never hold your password itself, and we can never send it back to you. You can also sign in with a six-digit code emailed to you; those codes are stored hashed, expire in minutes, are limited to three sends an hour per email address and per IP address, and are invalidated after five wrong attempts.

A signed-in session uses an access token that expires after seven days and a refresh token that expires after thirty. The refresh token is kept server-side as a hash. The access token is stored in your browser's local storage — see the privacy policy for the full list of what the app keeps in your browser.

  • Give accurate account information and keep it current.
  • Keep your password and your device secure; you are responsible for activity under your account.
  • Do not sell, rent or transfer an account, and do not create a second account to evade a restriction.
  • You must be old enough to enter a binding contract.[REVIEW: minimum age, and whether a parent/guardian route is offered — the platform does not collect a date of birth today and does not enforce any age check]

Section 4

Selling requires phone verification

Anyone can browse and buy. Selling is gated: before an account can act as a freelancer it must verify a Nepali mobile number by one-time SMS code. Until that is done, the server refuses these actions outright:

  • Publishing a gig.
  • Editing a gig.
  • Placing a bid on a client request.
  • Using the AI bid review tool.
  • Withdrawing money from a wallet balance.
  • Setting up a Western Union payout method.

A verified number can only be attached to one live account. Uniqueness is checked both when the code is sent and again when it is entered. Clients are never required to verify a phone number — the burden sits on the side that gets paid.

Your identity number and your payout number are separate

The number you verify by SMS is used for identity only. The number money is sent to is a different field, verified against the payment gateway, and is never used for login, one-time codes or account recovery. Neither appears on a public profile.

Section 5

How an order is governed

Paying does not start the work. A successful payment moves the order into awaiting requirements. The client fills in requirements, which become a numbered list of contract items; the freelancer must actively accept that list, or bounce it back once with questions. The delivery clock starts at acceptance, never at payment, and the accepted list is hashed onto the order so it cannot be quietly rewritten later.

From there the order runs through delivery, any revisions included in the gig, and approval. If the client goes silent, the delivery auto-approves after the configured window. Full mechanics, hold windows and refund routes are in the escrow and refunds terms.

Once accepted, a scope contract cannot be amended in place. Changing what was agreed means settling the order and starting a new one, or agreeing a split in the Resolution Center. Anything outside the accepted items is out of scope, and a dispute will treat it that way.

Section 6

Fees and pricing

Two commission rates exist, both set in platform configuration and both readable by anyone from the platform's public configuration endpoint. The figures below are the live values:

Client service fee

Added on top of the order amount at checkout. What you are charged is the order amount plus this percentage; the breakdown is shown before you are sent to the payment gateway. The rate in force when you check out is recorded on the order, so a later change to the platform rate does not alter an order already placed.

Freelancer commission

Deducted from the order amount when the payout is queued. The payout record stores the gross, the fee and the net, so a freelancer can always see how the number was reached.

Where a gig is priced in US dollars, the rupee amount is locked at checkout using a stored USD/NPR rate that includes a platform spread, and that locked quote stays on the order permanently. If the stored rate is more than 48 hours old, dollar-priced checkout is refused rather than guessed.

Withdrawing a wallet balance has a minimum amount, also published in the platform configuration. Western Union withdrawals carry a flat fee plus a percentage of the amount and have their own, higher minimum.[REVIEW: publish the Western Union fee schedule and minimum, which are currently operational settings rather than published terms]

Section 7

Keep the deal on the platform

Agree the work, exchange files and pay through NepalCanWork. Taking a deal off the platform is not a minor rule break — it removes every protection you were relying on at once:

  • There is no escrow, so nobody is holding the money and nobody can release or refund it.
  • There is no scope contract, so a dispute has no standard to be judged against.
  • The chat log, deliveries and timestamps that a dispute is decided on do not exist.
  • We cannot adjudicate, refund or recover anything, because none of it ever passed through us.

On-platform chat is scanned for signs a conversation is trying to leave: phone numbers, email addresses, outside messaging apps, external social profiles and off-platform payment methods. Detection does not block your message. It warns both parties inline and records a flag on the conversation, which staff can see and which is included in the evidence a dispute is analysed from.

Soliciting a client or freelancer to complete a paid engagement off the platform is a breach of these terms and may result in restriction or removal of the account.

Section 8

Acceptable use

Do not use NepalCanWork to:

  • Post, deliver or request unlawful content, or content you have no right to distribute.
  • Impersonate another person or business, or misrepresent your skills, identity or affiliation.
  • Submit fabricated evidence in a dispute, or edit a screenshot or document to change what it shows.
  • Plant instructions inside an uploaded document intended to influence automated analysis. Content extracted from uploads is treated as untrusted, and attempts of this kind are flagged and pushed into the slowest, most senior review tier.
  • Attempt to bypass phone verification, payout-number checks, order value limits or an account restriction.
  • Scrape, bulk-download, probe or overload the platform, or interfere with its security features.
  • Harass, threaten or abuse another user or a member of staff.

NepalCanWork lists an Assignments & Academic category. Work in that category must comply with the rules of any institution it relates to, and with applicable law.[REVIEW: the platform's position on academic work and institutional honour codes — a policy decision, not something the code currently defines or enforces]

Section 9

Content and ownership

You keep ownership of what you upload — briefs, requirements, messages, portfolio pieces and delivered files. To run the service, you grant us a non-exclusive licence to store, display and process that content for the purposes described in the privacy policy, including passing it to the third-party services listed there.

Ownership of the delivered work itself is agreed between client and freelancer. The platform does not currently record a licence or an assignment on an order — deliverables are files attached to the order, and they unlock to the client when escrow releases. A freelancer can attach an item from a completed order to their public portfolio, which makes it visible to anyone browsing their profile.[REVIEW: default IP position on delivered work — who owns it on payment, what licence the client receives, and whether a freelancer may portfolio work from a completed order without the client's consent]

Section 10

Suspension and termination

An account can be active, suspended or banned. Suspending or banning an account is a deliberate decision by an administrator, and it is written to an append-only audit log that records who did it, when, from which IP address, and the mandatory note explaining why.

Separately, some consequences are applied automatically from your trust ledger rather than by a person: a pattern of lost disputes or a confirmed fraud flag can add a delay to your payouts, cap the value of orders you can place, and require staff pre-screening before you can open a further dispute. Simply opening a dispute is never penalised. The full policy is in the dispute and anti-scam policy.

You may stop using NepalCanWork at any time. Orders already in flight still run to their conclusion, and money already in escrow is still released, refunded or split under the escrow terms.[REVIEW: account closure and data deletion process — the product has no self-service account deletion today]

Section 11

Availability and disclaimers

The platform is provided as it is. We do not warrant uninterrupted availability, and parts of it depend on third parties we do not control — the payment gateway, the SMS sender, the email relay and the AI provider. When those are unavailable the platform is built to degrade rather than block you: AI features return an unavailable result instead of stopping you posting work manually, and a missing SMS or email configuration is logged rather than failing the action.

AI output on this platform is advisory. It drafts, summarises, checks and triages; it never issues a verdict, and a formal dispute is always decided by a person who must cite the scope contract in writing.

We do not vet, endorse or guarantee any freelancer, client, gig or delivered work. Ratings, trust scores and verification badges describe recorded activity on the platform; they are not a promise about anyone's future conduct.

Section 12

Limitation of liability

Our responsibility is bounded by what we actually do: holding the escrowed amount for an order and releasing, refunding or splitting it under the escrow terms and the dispute policy. We are not responsible for the quality, legality or timeliness of work performed by a freelancer, nor for agreements made off the platform.

Changes to these terms

Fees, hold windows and auto-approval windows can be changed in platform configuration without a new version of this document. That is why this page reads those numbers live rather than printing them: what you see here is always what the system is enforcing right now.
